Louisiana Transportation Authority By-Laws
LOUISIANA TRANSPORTATION AUTHORITY
BY-LAWS
We, the members of the Board of Directors of the Louisiana Transportation Authority, a public corporation created and existing under and pursuant to the Louisiana Transportation Authority Act, being Chapter 30 of Title 48 of the Louisiana Revised Statutes of 1950, hereby amend and restate the By-Laws governing the affairs of the Louisiana Transportation Authority as set forth below.
I. DEFINITIONS
1.1. For the purposes of these By-Laws, the following terms shall have the meanings herein specified.
"Act" means Chapter 30 of Title 48 of the Louisiana Revised Statutes of 1950, as amended.
"Authority" means the Louisiana Transportation Authority.
''Board'' means the Board of Directors of the Authority.
“DOTD” means the Louisiana Department of Transportation and Development
II. OFFICES
2.1. The principal office of the Authority is:

2.2. The Authority may have offices at such other places as the Board determines from time to time or the business of the Authority may require.
III. OBJECTIVES AND PURPOSES
3.1 The objectives and purposes for which the Authority is formed are set forth in the Act.
IV. BOARD OF DIRECTORS
4.1. The Board shall be composed of nine (9) natural persons, unless the Act is amended to provide otherwise. The members of the Board shall be the ex-officio members designated in the Act and the appointees of the Governor of the State of Louisiana as provided in the Act, subject to the approval of the House and Senate Committees on Transportation, Highways and Public Works.
4.2. The directors appointed by the Governor shall serve at the pleasure of the Governor of the State of Louisiana until their successors are appointed and sworn into office.
4.3. The Board shall hold its meetings and keep the books of the Authority at the principal office of the Authority, or at such other places as it may determine.
4.4. The property and business of the Authority shall be managed by the Board which may exercise all such powers of the Authority and do all such lawful things as are not prohibited by statute or by these By-Laws, or directed or required to be exercised or performed by other parties.
4.5. The Authority shall meet at least quarterly and may meet more frequently upon call of the chairman.
V. COMMITTEES
5.1. The Board may by resolution(s) passed by a majority of the whole Board, designate one or more committees, each committee to consist of two (2) or more members of the Board, which shall have and may exercise such powers not inconsistent with the Act
or these By-Laws.
5.2. All committees formed by the Board shall keep regular minutes of their proceedings and report the same to the Board.
VI. COMPENSATION OF DIRECTORS
6.1 All members of the Board shall serve without compensation; however, appointed directors of the Board may be reimbursed for mileage expenses incurred for attendance at meetings of the Authority. The mileage allowance shall be fixed by the Authority in an amount not to exceed the mileage allowance authorized under state travel regulations at rates and standards as promulgated by the division of administration, subject to the availability of funds.
VII. MEETINGS OF THE BOARD
7.1. All meetings of the Board shall be subject to the public meetings law.
7.2. At all meetings of the Board, the presence of a majority of the directors of the Board shall constitute a quorum for the transaction of all business of the Authority. Except as otherwise required by the Act, the vote of the majority of the directors present at the time and place of any meeting may adjourn the meeting from time to time, or without notice other than announcement at the meeting, until a quorum shall be present. The affirmative vote of the majority of the directors present at a meeting shall be necessary to conduct any official action or decide any question.
7.3. Special meetings of the Board may be called by or at the written request of the chairman or by a majority vote of the members. Said meetings shall be held at the Louisiana State Capitol or at such other place within or without the State as the Board, by resolution, may provide.
VIII. NOTICES
8.1. Whenever under the provisions of the Act or these By-Laws, notice is to be given to any director, it shall not be construed to necessitate personal notice, but such notice may be given in writing by depositing the same in a post office or letterbox in a postpaid, sealed wrapper, addressed to such director at such address as appears in the records of the Authority. Such notice shall be deemed to be given at the time when the same shall thus be mailed.
8.2. Notices of special meetings may be given by mail, by posting a copy of the notice at the principal office of the Authority, or by publication of the notice on the DOTD website or in the official journal of the Authority. Notice of any such meeting shall be provided no less than twenty-four hours, exclusive of legal holidays, before the scheduled time of the meeting and shall comply with the provisions of the public meetings law.
IX. OPERATION OF THE AUTHORITY
9.1 The Authority shall be subject to the Code of Governmental Ethics (La. R.S. 42:1101 et seq.), the Open Meetings Law (La. R.S. 42:11 et seq.), the Public Records Law (La. R.S. 44:1 et seq.), and the Bond Validation Procedures Law (La. R.S. 13:5121, et seq.).
X. OFFICERS
10.1 The officers of the Authority shall be a chairman, vice chairman, secretary, treasurer, and such other officers as the directors may so appoint.
XI. CHAIRMAN
11.1 The chairman of the House Committee on Transportation, Highways and Public Works, or his designee, shall serve as chairman of the Board on a two-year rotating basis with the chairman of the Senate Committee on Transportation, Highways and Public Works, or his designee.
11.2 The chairman shall preside at all meetings of the Board at which he is present. He shall, in general perform all duties and have all powers incident to the office of chairman and shall perform such other duties and have such other powers as from time to time maybe assigned to him by these By-Laws or by the Board.
XII. VICE-CHAIRMAN
12.1 When not serving as chairman of the Board, the chairman of the House Committee on Transportation, Highways and Public Works, or his designee, shall serve as vice-chairman of the Board on a two-year rotating basis with the chairman of the Senate Committee on Transportation, Highways and Public Works, or his designee.
12.2 At the request of the chairman or in the event of his absence or disability, the vice-chairman shall perform all of the duties of the chairman. When so acting, the vice chairman shall have all of the powers and be subject to all the restrictions upon the chairman. The vice-chairman shall perform such other duties and have such other powers as from time to time may be assigned to him by these By-Laws or by the Board or by the chairman.
XIII. SECRETARY-TREASURER
13.1 The Secretary of DOTD shall serve as secretary-treasurer.
13.2 The secretary-treasurer shall keep the minutes of the proceedings of the Board in one or more books to be kept for such purpose. He shall have custody of the seal of the Authority and shall have the authority to cause such seal to be affixed or impressed or otherwise reproduced upon all documents, the execution and delivery of which, on behalf of the Authority, shall have been duly authorized. He shall keep full and accurate accounts of receipts and disbursements of corporate funds in books belonging to the Authority. He shall cause all monies and other valuable effects to be deposited in the name and to the credit of the Authority in such depositories as may be designated by the Board. He shall cause the funds of the Authority to be disbursed when said disbursements have been duly authorized, taking proper vouchers for such disbursements and shall render to the chairman and the Board, whenever requested, an account of all his transactions as secretary-treasurer and of the financial condition of the Authority. He shall, in general perform all duties and have all powers incident to the office of secretary-treasurer and shall perform such other duties and have such other powers as from time to time be assigned to him by these By-Laws, by the Board or by the chairman.
XIV. EXECUTION OF INSTRUMENTS
14.1. All documents, instruments or writing of any nature shall be signed, executed, verified, acknowledged and delivered by such officer or officers or such agent or agents of the Authority and in such manner as the Board from time to time may determine.
14.2. All notes, drafts, acceptances, checks, endorsements, and all evidences of the Authority whatsoever shall be signed by such officer or officers or such agent or agents of the Authority and in such manner as the Board from time to time may determine. Endorsements for deposit to the credit of the Authority in any of its duly authorized depositories shall be made in such manner as the Board from time to time may determine.
XV. AMENDMENTS
15.1 These By-Laws may be amended, restated or repealed by a majority vote of the entire Board at any regular or special meeting of the Board.
XVI. SEAL
16.1 The official seal of the Authority shall be as follows:

XVII. OFFICIAL JOURNAL
17.1. The official journal of the Authority is hereby designated as The Advocate, a daily newspaper published in the city of Baton Rouge (East Baton Rouge Parish), Louisiana.

The above By-Laws of the Louisiana Transportation Authority were first adopted by the Board of Directors of the Authority at its inaugural meeting held on April 21, 2003, amended May 26, 2005, and further amended on June 24, 2020.

D. The board shall be composed of nine directors who shall be the governing body of the authority with full power to promulgate rules and regulations for the maintenance and operation of said authority, subject to the approval of the House and Senate Committees on Transportation, Highways and Public Works, as follows:
(1) The governor or his designee.
(2) The secretary of the Department of Transportation and Development or his designee.
(3) The secretary of the Department of Economic Development or his designee.
(4) The president of the Louisiana Senate or his designee.
(5) The speaker of the Louisiana House of Representatives or his designee.
(6) The chairman of the House Committee on Transportation, Highways and Public Works or his designee, who shall serve as chairman on a two-year rotating basis with the chairman of the Senate Committee on Transportation, Highways and Public Works.
(7) The chairman of the Senate Committee on Transportation, Highways and Public Works Committee or his designee, who shall serve on a two-year rotating basis with the chairman of the House Committee on Transportation, Highways and Public Works.
(8) One director appointed by the governor from the membership of the Louisiana Planning Council.
(9) One director appointed by the governor from the state at large and representative of Louisiana business and industry.
